We advise in tender proceedings for the purchase of telecommunications services and in construction law proceedings concerning in particular the inventory of telecommunications infrastructure.
We represent telecommunications operators in proceedings before the President of the UKE, the President of the UOKiK, including the Court of Competition and Consumer Protection, before institutions implementing EU projects in the field of innovation and telecommunications solutions. We provide advice in relations with collective rights management organisations (CROs). In addition, we offer:
- Valuation of assets of telecommunications companies
- Internal audit of a telecommunications company
- Risk analysis of planned transactions and investments
- Participation in negotiations of the terms and conditions of telecommunications access agreements (e.g. LLU, BSA, fibre optic leases)
- Representation before administrative authorities and courts
- Drafting of both subscriber and non-subscriber agreements.
- Enforcement of claims for violation of rights
Experience
The Brightspot Team has extensive experience in servicing the telecommunications market. Our activities do not end with day-to-day legal services. We prepare valuations of telecommunications companies, carry out legal audits of networks, obtain financing for projects such as network expansion or acquisition, and carry out a comprehensive network sale process.
Below is a selection of our activities over the past few years:
- RODO implementation project for the ISP industry – as part of the project, a system was developed to enable small and medium-sized telecommunications operators to implement the regulations of the RODO regulation in their organisations. Under the project, we have completed approximately 50 RODO implementations for ISPs;
- Network valuations – we have prepared numerous network valuations for the purposes of acquisitions, property tax filings or loan security. The recipients of our services are operators, investment funds and local government units;
- Intermediation projects for the sale of telecommunications networks – we have carried out numerous assignments consisting of acquiring a client for a specific network, valuing the network, conducting an audit, selecting a transaction model in terms of its tax optimality, negotiating the price and the network sale agreement;
- Audits of telecommunications networks – we have carried out dozens of network audits including for the country’s largest infrastructure funds;
- Project funding services – we have arranged tens of millions of złoty for our clients to expand their networks and purchase competing networks;
- Ongoing legal services – we provide ongoing services to dozens of entities listed in the Register of Telecommunications Companies, including in the areas of telecommunications law, corporate law and labour law;
- Informational projects – to better support our partners, we also share knowledge. It is part of the Brightspot Team’s tradition to develop and provide entrepreneurs with information on the most relevant issues happening in the market, whether through industry organisations or through independent publications.
